Bitflare Inc. (the "Company") operates "Miss Gravure" (the "Site") and provides related services (the "Services"). These Terms set forth the conditions governing use of the Services. By starting to use the Services, users are deemed to have agreed to these Terms.
Article 1 (Definitions)
- "Terms": these Terms of Use.
- "Site": the website "Miss Gravure" operated by the Company.
- "Content": digital photo books and other image/text data provided on the Site.
- "Services": the sale and provision of viewing rights to the Content and related functions on the Site.
- "User": any person who browses the Site or uses the Services.
- "Member": a User who has completed membership registration in the manner designated by the Company.
Article 2 (Scope)
- These Terms apply to all actions by Users in connection with the Services.
- Policies, guidelines and other rules separately established by the Company ("Supplementary Rules") form part of these Terms.
- In the event of inconsistency, the Supplementary Rules prevail.
Article 3 (Amendment of Terms)
- The Company may amend these Terms.
- Amendments take effect upon posting on the Site after a reasonable prior notice period.
- Continued use of the Services after the effective date constitutes consent to the amendments.
Article 4 (Accounts)
- Membership registration is completed by the method designated by the Company. Minors must obtain the consent of their legal representative; such consent is deemed to have been obtained upon registration.
- Members must keep their registration information accurate and promptly update any changes.
- Members are responsible for managing their login email address and password ("Login Credentials") and must not transfer, lend, or share them with any third party.
- If a Member becomes aware of unauthorized use of the Login Credentials, the Member must promptly notify the Company.
Article 5 (Use of the Services)
- Users may use the Services in accordance with these Terms.
- Users may acquire viewing rights to the Content (the "Access Right") for a fee or free of charge. The Access Right is a limited, revocable, non-transferable and non-sublicensable license to view the Content in the manner designated by the Company and does not transfer ownership of the Content.
- Payments must be made by the methods designated by the Company. Any dispute with payment service providers or card issuers shall be resolved between the respective parties; the Company bears no responsibility.
- Due to the nature of digital content, no refunds, returns or exchanges are offered after acquisition of the Access Right. If a material defect is confirmed by the Company, the Company may provide re-delivery, replacement or a refund as appropriate.
- Minors who purchase must obtain the consent of their legal representative.
Article 6 (Availability and Re‑use Conditions)
- Even for Content already acquired, use may become unavailable in the following cases:
1) the account has been deleted;
2) a viewing period was set and has expired;
3) all or part of the Services are suspended or terminated;
4) attributable to the User's environment or circumstances. - The Company is not liable for any damage arising from the above unavailability, except in cases of the Company's gross negligence.
Article 7 (Prohibited Acts)
The following acts are prohibited. Upon detection, the Company may, without prior notice, suspend use, invalidate Access Rights, or delete membership:
- Rights infringement: infringing copyrights, trademarks, portrait rights, privacy or other rights/interests of the Company, right holders or third parties;
- Illegal or inappropriate content: transmitting or displaying content that violates laws and regulations, including child pornography or child abuse, or acts likely to fall under such content;
- Defamation and interference: defaming or damaging the reputation or credibility of the Company or third parties, or interfering with operations;
- Technical violations: reverse engineering, decompiling, analyzing, altering, deleting or unauthorized access concerning the Site or the Services;
- Account abuse: impersonation, obtaining or using Login Credentials unlawfully, or sharing them with third parties;
- Harmful information/programs: distributing malware or making it available;
- Nuisance: sending unsolicited advertisements or solicitations, spam, or requesting/forwarding chain emails;
- Infrastructure disruption: imposing excessive load on servers or networks, or obstructing operations;
- Other: acts that violate laws or public order and morals, or that the Company deems inappropriate.
Article 8 (Intellectual Property)
- Intellectual property rights relating to the Services and the Content belong to the Company or the respective right holders.
- Beyond private copying permitted by law, Users must not reproduce, distribute, publicly transmit, modify, adapt or repost the Content, nor externally distribute screenshots, recordings or screen captures.
- Users must not cause a third party to engage in the acts in the preceding paragraph.
Article 9 (Changes to Content)
The Company or publishers may, at their discretion, correct, delete or add to the Content even after distribution.
Article 10 (User Environment)
- Users shall, at their own cost and responsibility, prepare and maintain devices, communications and software necessary to use the Services.
- Users shall implement appropriate security measures, including anti‑virus and access control, suitable for their environment.
Article 11 (Compliance with Local Laws and Responsibility for Access)
- Users shall comply with all applicable laws, regulations, and ordinances of the country or region in which they reside or from which they access the Service.
- The Company makes no representations or warranties regarding the legality or appropriateness of the Service or the Content in any country or region.
- Users shall use the Service at their own discretion and responsibility. The Company shall not be liable for any violations of laws or any damages arising in connection therewith, in the country or region where the User is located.
- The Company has no obligation to verify the accuracy of the User’s location information or access route. The use of VPNs, proxies, or any other means to access the Service shall be conducted solely at the User’s own discretion and responsibility.
Article 12 (Disclaimer)
- The Company makes no warranty that the Services will be uninterrupted or error‑free, or that the Content is complete, accurate, useful, up‑to‑date, or fit for a particular purpose.
- Except where liability cannot be limited under applicable law, the Company bears no liability for damages arising to Users.
- Even where the Company is liable, except in cases of gross negligence, the Company's liability is limited to ordinary, direct damages actually incurred by the User up to the amount actually paid to the Company in the month in which the damage occurred (capped at the price of one Access Right).
Article 13 (Disputes with Third Parties)
Disputes between Users and third parties shall be resolved by those parties. If the User causes damage to the Company in connection therewith, the User shall compensate the Company.
Article 14 (Modification, Suspension, or Termination of the Service)
- The Company may change or temporarily suspend all or part of the Services without prior notice when deemed necessary.
- The Company may terminate the Services for its own reasons. In such case, the Company will, in principle, provide notice on the Site at least 90 days in advance.
- The Company is not liable for damages arising from measures under this Article.
Article 15 (Prohibition of Assignment)
Users may not assign, succeed to, or offer as security their position under these Terms or any rights or obligations hereunder to any third party.
Article 16 (Governing Law, Jurisdiction, and Language)
- These Terms are governed by the laws of Japan.
- The Tokyo District Court or the Tokyo Summary Court shall have exclusive jurisdiction in the first instance over disputes arising from or in connection with these Terms or the Services.
- The Japanese version of these Terms is the controlling version; in case of any discrepancy with a translation, the Japanese version prevails.
Article 17 (Severability)
Even if any provision is held invalid, illegal or unenforceable, the remaining provisions shall remain in full force and effect.
Article 18 (Inquiries and Personal Information)
Contact information is provided on the "Contact" page of the Site. Personal data is handled in accordance with the separately established Privacy Policy.
Article 19 (Zero Tolerance for CSAM and Prohibited Content)
- We adopt a zero‑tolerance policy toward Child Sexual Abuse Material (“CSAM”). We strictly prohibit the creation, sale, posting, distribution, or promotion of any content that depicts, in a sexual context, a person who was under 18 at the time of shooting, or a person who appears to be under 18.
- For the purpose of the preceding paragraph, staging that evokes minority, such as school age, school uniforms or other school items, a child’s room, or childlike props or wording, may, at our discretion, be treated as suspected CSAM.
- Users who discover CSAM or acts suspected of constituting CSAM must promptly report them via our designated reporting channel.
- Upon receipt of a report, we will immediately take provisional measures, including making the relevant content private, suspending sales, invalidating CDN caches, and suspending related accounts, and, where necessary, notify the competent organizations and take other legal measures.
Article 20 (Reporting Contact and Response Policy)
- Reporting channel: We maintain a dedicated reporting channel for CSAM and other serious violations. Reports are accepted via the “Contact Us” page.
- Initial response: For high‑severity reports, we will conduct triage within 1 hour and, in principle,take provisional measures (e.g., making content private and/or suspending sales) within twenty‑four 24 hours.
- Handling of information: Personal information of reporters will be used only to the extent necessary for investigation and for reports to competent organizations, and will be managed appropriately. If a malicious false report is confirmed, we may cease responding to such report and take appropriate measures.
- Re‑publication: Even if we determine that the content does not constitute a violation, we do not guarantee re‑publication. Decisions are made at our sole discretion.
